This End-User License Agreement ("EULA") is a legal agreement between you (or the entity you represent, "Licensee") and STS Lab SRL ("Licensor") relating to the use of the software and service Kadeon ("Software"). By creating an account or using the Software you agree to be bound by this EULA. If you do not agree, do not use the Software.
1. Licence grant
The Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Software, in service (SaaS) mode, solely for its own internal business purposes and within the limits of the subscribed plan and the Terms and Conditions.
2. Restrictions
The Licensee agrees not to:
- copy, modify, translate or create derivative works from the Software;
- decompile, disassemble or reverse-engineer, except to the extent mandatory under applicable law;
- resell, rent, lease or provide the Software to third parties as a service bureau;
- remove proprietary notices, trademarks or copyright notices;
- use the Software to develop a competing product or service;
- circumvent security measures, usage limits or licence controls.
3. Ownership
The Software is licensed, not sold. All intellectual property rights in the Software, updates and documentation remain the exclusive property of the Licensor and its licensors.
4. Licensee data
The Licensee retains ownership of its data. The processing of personal data is governed by the Privacy Policy. The Licensee is responsible for the lawfulness of data input and compliance with applicable law.
5. AI services and external cloud providers
The Software uses a local (on-premise) AI engine as the primary provider for data extraction. To ensure service continuity, load balancing and failover, the Software may transmit content to AI providers on external cloud servers. This feature is active by default and can be disabled from the tenant's AI configuration panel.
Activation of the external cloud AI fallback requires an Anthropic Claude API key (Individual plan) owned by the Licensee and not included in the licence. The Licensee is responsible for:
- accepting the external provider's terms of use (Anthropic) before enabling the fallback;
- verifying the suitability and lawfulness of content transmitted to the external provider;
- keeping and protecting its own API key.
Content transmitted to the external provider is subject to that provider's data processing policy. The Licensor is not liable for processing carried out by third-party providers or for damage arising from the transmission of inappropriate content.
6. Updates
The Licensor may provide updates, patches or new versions, which will be subject to this EULA unless otherwise stated. Certain features may be changed or discontinued.
7. Warranties
The Software is provided "as is" and "as available". To the extent permitted by law, the Licensor disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. The Licensor does not warrant that the Software will be error-free or continuously available.
8. Limitation of liability
To the maximum extent permitted by law, the Licensor is not liable for indirect, incidental or consequential damages, or for loss of data or profits. The Licensor's total liability is in any event limited to the amounts paid for the Software in the 12 months preceding the event.
9. Term and termination
This EULA is effective until terminated. It terminates automatically upon breach of its conditions. Upon termination the Licensee must cease all use of the Software. Provisions that by their nature should survive termination remain in effect.
10. Governing law
This EULA is governed by Italian law. Disputes are subject to the exclusive jurisdiction of the court of the Licensor's registered office, save for mandatory provisions.
11. Acceptance
By ticking the appropriate box during registration or by using the Software, you declare that you have read, understood and accepted this EULA, the Terms and Conditions and the Privacy Policy.
